This post is an update to my original post posted on January 5, 2021 (link).
On July 5, 2021, the Lieutenant Governor of Ontario proclaimed into force the provisions of Bill 213, Better for People, Smarter for Business Act, 2020, which removes the 25% Canadian resident director requirement for corporations subject to the Business Corporations Act (Ontario) (OBCA).
With this repeal, non-residents of Canada who wish to incorporate in Ontario may do so without having a Canadian-resident director.
A second change in Bill 213 that has been proclaimed into force is that a written resolution by the shareholders of a private corporation now only requires the signatures of the shareholders representing a majority of the votes. Previously, such written resolution required the signature of all of the shareholders entitled to vote on it.
